Terms and Conditions of Sale

The present Bruker Store Terms and Conditions of Sale (“Terms of Sale”) apply to the sale of products on the Bruker Store, a webshop operated by Bruker BioSpin Corporation, 40  Manning Road, Billerica, MA 01821, USA ("BBIO USA"), which is located at https://store.bruker.com/  ("Webshop").

These Terms of Sale apply to all orders placed with BBIO USA or any other company of the Bruker group (“Bruker Affiliate(s)”) through the Webshop by persons using their account on the Webshop for that purpose ("Customer(s)”, “you”). BBIO USA and the Bruker Affiliates are hereinafter collectively referred to as “Bruker”, “we” or “us”. Please review the following Terms of Sale carefully. By placing an order on the Webshop, Customer signifies its agreement to these Terms of Sale which are the only terms and conditions which apply to Customer’s purchase on the Webshop, unless Bruker expressly agrees otherwise in writing. Bruker hereby rejects any terms and conditions that may be presented or referred to by Customer with regard to any order on the Webshop. If Customer does not agree to these Terms of Sale or is unable to be bound by such Terms, Customer may not place any order on the Webshop.

 

The products offered on the Webshop are directed exclusively at corporate customers that are end users. Bruker does not sell to private individuals acting as consumers via the Webshop. Any order on the Webshop is only valid if it originates from a party that is a natural or legal person or a partnership with legal capacity whose request is placed with Bruker in the exercise of its commercial or independent professional activity and who will not resell the products purchased on the Webshop. By submitting an order on the Webshop, you warrant and represent to fulfill these requirements. You further warrant and represent that (a) the business organization you represent is duly organized, validly existing and in good standing under the laws of the jurisdiction of its incorporation and has full corporate power to and authority to enter into these Terms of Sale, and (b) you have been duly authorized to enter into these Terms of Sales on behalf of the business organization you represent. 1. ORDERS

 

Contracts are concluded as follows on the Webshop, provided that all requirements set by the present Terms of Sale are met by Customer:

Customer can choose products from the assortment of goods within the Webshop by adding them to the shopping cart. The local currency applies to purchases in the Webshop for the countries listed in the drop-down list “Select a market. Choose a country”, which can be accessed via the menu in the upper right corner (flag icon). Countries that are not listed separately are included in “All other countries”; for this group of countries, the currency for purchases in the Webshop is US dollars. Depending on the billing address indicated for your purchase, it may be subject to sales taxes, which will be indicated at checkout. In the shopping cart Customer may choose to either directly proceed to checkout or to generate a quotation for download. In addition, the quotation will be sent automatically to the email address linked to Customer’s account. Both the quotation and the email contain a link leading Customer back into the corresponding purchasing process, thereby enabling you to proceed to checkout at any time. Shipping information will be derived from your account and can be modified if required. After clicking “continue to payment” you will be able to select your preferred payment method.An overview of the payment methods available and the applicable payment terms is accessible here: https://store.bruker.com/pages/ordering-methods-and-quote-creation. Diverging payment terms within the Additional Terms are not applicable to purchases via the Webshop. By clicking the button "Buy now" the purchase of the products in the shopping cart becomes legally binding subject to the present Terms of Sale. The transfer of title and risk from the Bruker Contract Party to Customer will take place in accordance with the applicable Incoterms as indicated within the table in section 2 below. Please make sure you store a copy of the applicable terms and conditions for your convenience, since the Terms of Sale may be subject to change.

 

2. BRUKER CONTRACT PARTY FOR PURCHASES ON THE WEBSHOP

 

Depending on Customer’s location and Customer’s choice of product(s) on the Webshop, the purchase contract for the product(s) ordered by Customer will be established between Customer and one of the companies of Bruker as indicated in the table below per country (“Bruker Contract Party”). Customer’s location means the country of the billing address indicated for the relevant order and is referred to in the table as “Country”. On the Webshop, each product belongs to a specific product group which is indicated within the product’s description (“Product Group”). The Product Groups currently available on the Webshop are “Bruker BioSpin”, “Bruker Daltonics”, “Bruker AXS” and “Bruker Optics”. Within a given country, the Bruker Contract Party may vary as indicated in the table below depending on the Product Group of the product(s) selected by Customer.

Customer’s purchase in the Webshop is subject to additional terms and conditions depending on the Bruker Contract Party and as indicated in the table below (“Additional Terms”). In case of conflict between the provisions contained in present document and any of the Additional Terms hyperlinked below, the provisions within the present document shall prevail.

3. PROMOTIONS

 

Promotions are exclusively valid for online orders placed at the Webshop.
The special conditions offered as a promotion are valid only during the period indicated for each promotion. This means that the relevant special conditions can only be applied to orders being placed at the Webshop during the timeframe indicated. The promotion is not valid with retroactive effect.
Promotions on the Webshop cannot be combined with any other current promotion or special offer. The special conditions offered in a promotion cannot be cumulated with any individual discount that customer may be granted for orders outside of the Webshop.
As part of a promotion, the discount for software licenses with a yearly subscription period is valid only for the first year. For software licenses with subscription durations over one year, promotions do not apply, unless explicitly stated otherwise.
For promotions that include a promotion code, unless otherwise specified, such code needs to be introduced by Customer during check-out to get activated.
The number of orders per customers eligible for promotion can be limited in a promotion. Also, the number of articles available at the conditions indicated in a promotion may be limited.
Bruker may change the conditions or duration of any promotion at any time.

5. COMPLIANCE WITH LAWS AND EXPORT CONTROL

 

(a) Customer is liable for compliance with all applicable laws and regulations linked to Customer’s use of the Webshop as a buyer of Bruker’s products.

 

(b) By accepting these Terms of Sale, you understand, acknowledge, and agree that exports, re-exports, and transfers (including in-country) of any products from the Webshop and any related software (including software updates), content, spare parts, accessories, consumables, services, technical assistance, training, and technical data, and any media in which any of the foregoing is contained (each an "Item" and, collectively, the “Items”) are subject to applicable United States, European Union, German, and/or other applicable trade controls, customs, anti-boycott, and economic sanctions laws, regulations, rules, and orders (each individually, an “Export Control Law”). In addition to any other remedy we may have, we may refuse, delay, suspend, and cancel the export, delivery, installation, or any maintenance, repair, service, and/or replacement of any Item, and we shall otherwise be excused from performing any obligations we may have (without any liability whatsoever), if (i) we have not received all export-related documentation in the form requested and considered acceptable by us, including a completed, signed, and stamped end-use certificate and ownership questionnaire (if and as requested by us), (ii) we have not received the governmental approvals that we, in our sole discretion, deem necessary, or (iii) we believe that such activity may violate any Export Control Law or our own compliance policies.

 

(c)  You shall only use the Items for non-military, peaceful purposes.  You shall not, directly or indirectly through others, sell, export, re-export, import, transfer (including in-country), or otherwise provide any Item in contravention of any Export Control Law, including: (i) to anyone in a destination that is embargoed by the United States or the European Union (an “Embargoed Destination”), as applicable, including, but not limited to, Belarus, Crimea, Cuba, Iran, North Korea, Russian Federation, Syria, or the non-government controlled areas of Ukraine in the oblasts of Donetsk, Kherson, Luhansk and Zaporizhzhia or to any government or government affiliate of a Embargoed Destination wherever located; (ii) to anyone listed on, or owned or controlled, directly or indirectly, by one or more entities or individuals on any applicable sanctioned persons lists issued by the United States (including, but not limited to the Specially Designated Nationals and Blocked Persons List, the Sectoral Sanctions Identifications List, the Entity List, the Denied Persons List, and the Unverified List), the European Union, or the United Nations (each, a “Sanctioned Person”); (iii) for research on, or the development, production, testing, delivery, operation, maintenance,  dissemination, repair, overhaul, refurbishing or any other use of: (A) chemical, biological, or nuclear weapons, missiles, rocket systems,  or unmanned aerial vehicles (including cruise missile systems or target or reconnaissance drones), or (B) nuclear explosive activities, unsafeguarded nuclear activities, or nuclear fuel cycle activities; (iv) to support a military-intelligence end use or military-intelligence end user in Burma (Myanmar), China, Russia, or Venezuela; (v) for oil or gas exploration or production in Russian deep water (greater than 500 feet), Arctic offshore locations, or shale formations located in Russia or in a maritime area claimed by Russia and extending from its territory, or anywhere in Russia if it involves a Sanctioned Person (as defined above) that has a 33 percent or greater ownership interest, or ownership of a majority of the voting interests in such oil or gas project, or if you or we, as applicable, are unable to determine whether the Item will be used in such projects, where such act would be in breach of any Export Control Law; or (vi)  for any other prohibited purpose (each a "Prohibited End-Use"). The Items shall not be (re-)exported or transferred if it is known or suspected that they are intended or likely to be used for a Prohibited End-Use, by a Sanctioned Person, or in an Embargoed Destination. By accepting these Terms of Sale, (i) you certify that you are not a Sanctioned Person or located in an Embargoed Destination, (ii) you agree that, if you are a Sanctioned Person or in an Embargoed Destination, and you order any product from the Webshop and/or submit payment through the Webshop, we may not deliver such product(s), or return such payment, to you, and (iii) you agree that you will not take any action against us, and that we will not be liable to you whatsoever, in connection therewith. We will not be liable to you for any loss or expense, and you agree to indemnify us for all costs and expenses (including reasonable attorneys’ fees), arising from your failure to comply with any Export Control Law. 

 

6. SEVERABILITY

 

If individual provisions of these Terms are or become void or ineffective in whole or in part, this shall not affect the validity of the remaining provisions. Statutory law shall take the place of any provisions of these Terms that are not included or are invalid. If such statutory law is not available in the respective case (gap in legislation) or would lead to an unacceptable result, the parties shall enter into negotiations to replace the non-included or invalid provision with a valid provision that comes as close as possible to the economic purpose of the invalid provision.

 

7. AMENDMENT AND WAIVER

 

These Terms of Sale may only be modified, or any rights under it waived, by a written document executed by both parties. The failure of either party to exercise or enforce any provision within the Terms of Sale shall not constitute a waiver of such right or provision or any other provision of the Terms or otherwise affect the rights of such party.

 

8. ENTIRE AGREEMENT

 

These Terms of Sale, including any Additional Terms and the Privacy Notice, constitute the entire agreement between the parties in relation to Customer’s purchase on the Webshop and supersede any prior written or oral agreements between the parties on the same matter.
